These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and HelixAI, Inc. ("HelixAI," "we," "us," or "our"), governing your access to and use of the HelixAI platform, including all associated services, features, content, applications, and APIs (collectively, the "Service").
By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Acceptable Use Policy, and any additional terms referenced herein (collectively, the "Agreement"). If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" shall refer to that entity.
If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice within the Service at least thirty (30) days before they take effect. Your continued use of the Service after such modifications constitutes acceptance of the revised Terms.
HelixAI is an AI-powered content intelligence platform that enables businesses to research, create, analyze, and optimize content across multiple industries. The Service may include, but is not limited to:
The Service is provided on a subscription basis as further described in the applicable order form, pricing page, or subscription agreement ("Subscription"). Features and functionality may vary by subscription tier.
You must be at least eighteen (18) years of age and capable of forming a binding contract under applicable law to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you further represent that the organization is duly organized and validly existing under the laws of its jurisdiction of formation.
To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify HelixAI of any unauthorized use of your account or any other breach of security.
HelixAI reserves the right to suspend or terminate accounts that contain inaccurate information, are used in violation of these Terms, or pose a security risk to the Service or other users. We may require multi-factor authentication or additional verification at our discretion.
Access to the Service requires a paid Subscription unless otherwise specified. Subscription fees are as set forth on the applicable pricing page or order form. All fees are quoted in U.S. dollars unless otherwise stated, are non-refundable except as expressly provided herein, and are exclusive of applicable taxes.
Subscriptions automatically renew at the end of each billing cycle unless cancelled at least thirty (30) days prior to the renewal date. HelixAI reserves the right to modify pricing with at least sixty (60) days' prior written notice. Price increases will take effect at the start of the next renewal period following the notice period.
If payment fails or is overdue, HelixAI may suspend access to the Service after providing five (5) business days' written notice and an opportunity to cure. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law.
HelixAI and its licensors retain all right, title, and interest in and to the Service, including all software, algorithms, machine learning models, user interfaces, designs, trademarks, service marks, and any improvements or derivatives thereof. Nothing in these Terms transfers any ownership rights to you.
You retain all ownership rights in content you submit, upload, or input into the Service ("User Content"). By submitting User Content, you grant HelixAI a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely as necessary to provide and improve the Service. This license terminates when you delete your User Content or close your account, except to the extent required for backup, archival, or legal compliance purposes.
Content generated by the Service using artificial intelligence ("AI Output") is produced based on your inputs, prompts, and configuration. Subject to your compliance with these Terms and payment of applicable fees, HelixAI assigns to you all right, title, and interest it may hold in AI Output generated specifically for you through your use of the Service.
If you provide feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant HelixAI an irrevocable, perpetual, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation to you.
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated herein by reference. Without limiting the foregoing, you agree not to:
HelixAI's collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated herein by reference. Where HelixAI processes personal data on your behalf, the terms of our Data Processing Agreement shall apply.
HelixAI implements commercially reasonable technical and organizational security measures to protect the Service and User Content. However, no system is completely secure, and HelixAI does not guarantee absolute security. You are responsible for maintaining the security of your account credentials and for any data you choose to input into the Service.
HelixAI will use commercially reasonable efforts to maintain Service availability. Notwithstanding the foregoing, HelixAI may perform scheduled maintenance with reasonable advance notice and may take emergency measures to protect the integrity of the Service. Free Tier accounts are provided without service level guarantees.
The Service may integrate with or allow connections to third-party platforms, services, or data sources ("Third-Party Services"). Your use of Third-Party Services is governed by the respective terms and policies of those providers. HelixAI is not responsible for the availability, accuracy, or practices of any Third-Party Services, and your use of such services is at your own risk.
The foregoing limitations shall not apply to: (a) either party's indemnification obligations; (b) either party's breach of confidentiality obligations; (c) your payment obligations; or (d) liability arising from willful misconduct or gross negligence.
You agree to indemnify, defend, and hold harmless HelixAI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
Either party may terminate this Agreement upon thirty (30) days' written notice. HelixAI may suspend or terminate your access immediately if you materially breach these Terms, fail to cure a curable breach within fifteen (15) days of written notice, engage in activity that threatens the security or integrity of the Service, or fail to pay fees when due.
Upon termination: (a) your right to access and use the Service ceases immediately; (b) you must pay any outstanding fees; (c) HelixAI will make your User Content available for export for thirty (30) days following termination, after which it may be permanently deleted; and (d) provisions that by their nature should survive termination shall survive, including Sections 6, 11, 12, 13, 15, and 16.
Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, conducted in the State of Delaware.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
Governing Law. These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
Entire Agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and any applicable order forms, constitute the entire agreement between you and HelixAI regarding the Service and supersede all prior agreements, proposals, and communications.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions shall continue in full force and effect.
Assignment. You may not assign or transfer your rights or obligations under these Terms without HelixAI's prior written consent. HelixAI may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets upon notice to you.
Force Majeure. Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet outages, or third-party service failures.
Notices. All legal notices must be sent to HelixAI at: david@helixai.media. Notices to you will be sent to the email address associated with your account.
Waiver. The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
