1. Introduction and Scope

These Terms of Service ("Terms", "Agreement", or "ToS") govern your use of HelixAI, including all services, features, content, and technology provided by HelixAI, Inc. and its affiliates ("HelixAI", "we", "us", or "our").

HelixAI is a multi-tenant, business-to-business (B2B) Software-as-a-Service (SaaS) platform powered by artificial intelligence that provides marketing content generation, Natural Language Processing (NLP) style learning, competitor analysis, NLP-powered chatbot services ("Sage AI"), SEO analytics, and blog management tools (collectively, the "Services").

By accessing, registering for, or using HelixAI in any manner, you agree to be bound by these Terms. If you do not agree to all terms and conditions, do not use the Services. These Terms form a legally binding contract between you and HelixAI.

Please also review our Acceptable Use Policy, Privacy Policy, and Cookie Policy, which are incorporated by reference and form an integral part of these Terms.

2. Account Structure and Multi-Tenant Architecture

2.1 Tenant Accounts and User Hierarchy

HelixAI operates on a multi-tenant architecture where:

  • A "Tenant" represents an organization, company, or entity that subscribes to HelixAI Services.
  • "Users" are individual employees, contractors, or representatives of the Tenant who are granted access to the Tenant's account.
  • A "Tenant Administrator" ("Admin") is a User designated with administrative privileges to manage the Tenant account, including user invitations, role assignments, API keys, billing, and usage monitoring.

2.2 Tenant Admin Responsibility

The Tenant Admin has primary responsibility for:

  • All actions taken by Users within their Tenant account, regardless of authorization level
  • Ensuring all Users comply with these Terms, the Acceptable Use Policy, and all applicable laws
  • Promptly removing Users who violate policies or no longer require access
  • Monitoring account activity and implementing appropriate security measures
  • Maintaining the confidentiality of authentication credentials and API keys
  • Notifying HelixAI immediately of any unauthorized access or security breaches

The Tenant Admin is the primary point of contact for all account matters, disputes, and communications with HelixAI. HelixAI treats the Tenant account as a single legal entity for enforcement purposes.

3. Account Creation and Eligibility

To create a Tenant account, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Represent and warrant that you have authority to bind the Tenant and agree to these Terms on their behalf
  • Provide accurate, complete, and current information during registration
  • Maintain the accuracy of your account information
  • Accept responsibility for all activities conducted under your account

HelixAI reserves the right to refuse service, suspend accounts, or terminate these Terms with any User or Tenant that does not meet eligibility requirements or violates these Terms.

4. Subscription Tiers and Usage Limits

4.1 Available Tiers

  • Free Tier: Limited access for evaluation purposes with monthly usage quotas.
  • Pro Tier: For small to medium-sized businesses with moderate usage requirements.
  • Enterprise Tier: For large organizations requiring unlimited usage and custom configurations.

4.2 Usage Limits by Tier

Each subscription tier includes defined per-month usage limits for: maximum concurrent users, maximum AI content generations, maximum NLP style profiles, and maximum competitor domains. Enterprise Tier accounts receive unlimited access. Specific limits for Free and Pro tiers are detailed in the pricing documentation on the HelixAI website.

4.3 Usage Overages

If your usage exceeds the limits for your subscription tier, HelixAI may notify you, temporarily suspend access to certain features, charge applicable overage fees, or require an upgrade. You are responsible for monitoring your usage and maintaining compliance with your subscription tier limits.

5. Zero Tolerance Content Moderation Policy

5.1 Prohibited Content Categories

HelixAI maintains a zero-tolerance content moderation policy for the following prohibited categories:

  • Child Exploitation: Any content depicting, promoting, or facilitating the abuse, exploitation, or sexualization of minors.
  • Pornography: Explicit sexual content, including adult material, obscene material, or non-consensual intimate imagery.
  • Illicit Drugs: Content promoting, facilitating, or providing instructions for the production, distribution, or use of illegal controlled substances.
  • Hate Speech: Content that attacks, demeans, or incites violence against individuals or groups based on protected characteristics including race, ethnicity, religion, gender, sexual orientation, disability, or national origin.

5.2 Automated Detection and Enforcement

HelixAI employs automated content moderation systems that continuously monitor for prohibited content. Detection of prohibited content triggers automatic enforcement actions.

5.3 Tenant-Wide Immediate Lockout

In the event that any User within a Tenant account submits, generates, or processes prohibited content:

  • The ENTIRE Tenant account is subject to IMMEDIATE AUTOMATED LOCKOUT
  • This is not limited to the individual User who violated policy — the lockout applies to all Users under the Tenant
  • All active sessions are terminated immediately
  • All authentication tokens are revoked
  • All API keys associated with the Tenant are disabled
  • Access to the Services is completely suspended
  • The Tenant account is locked pending manual review by HelixAI Trust & Safety personnel
This automated, tenant-wide lockout policy is a material term of this Agreement and reflects the serious nature of prohibited content violations.

5.4 Post-Lockout Review and Appeal Process

Following a lockout event, HelixAI will conduct a manual investigation. The Tenant Admin will be notified with details regarding the violation. The Tenant may request an appeal by providing a written explanation to our Trust & Safety team at david@helixai.media. Restoration of access is not guaranteed and may be subject to conditions or additional monitoring. If the violation involves illegal content or activity, HelixAI will cooperate with law enforcement as required by law.

5.5 Tenant Responsibility for User Compliance

The Tenant Admin is responsible for implementing internal controls and policies to prevent Users from violating the prohibited content policy. Violations are treated as breaches of the Tenant's obligations under this Agreement.

6. Acceptable Use Policy

In addition to the prohibited content categories outlined in Section 5, you must comply with HelixAI's Acceptable Use Policy, which is incorporated by reference and covers:

  • Unauthorized access or attempts to circumvent security measures
  • Intellectual property infringement or plagiarism
  • Harassment, threats, or abuse directed at individuals or groups
  • Spam or deceptive practices
  • Malware or security threats
  • Circumvention of usage limits or service restrictions
  • Resale or commercial redistribution of the Services without authorization
  • Use of the Services for illegal purposes or in violation of applicable laws

Violations of the Acceptable Use Policy may result in suspension or termination of your account without refund.

7. AI-Generated Content and Intellectual Property

7.1 Ownership of AI-Generated Content

Subject to compliance with these Terms and payment of all fees, HelixAI assigns to you ownership of the AI-generated content ("Generated Content") created through your use of the Services. This ownership grants you the right to use the Generated Content for lawful business purposes.

7.2 Conditions and Disclaimers on Content Ownership

  • No Exclusivity Guarantee: HelixAI does not guarantee that Generated Content is unique or exclusive to you. Other users may receive similar or identical output based on similar prompts.
  • No Accuracy Guarantee: HelixAI makes no warranties regarding the accuracy, completeness, or fitness of Generated Content. You are solely responsible for reviewing and verifying Generated Content before publication or use.
  • No Non-Infringement Guarantee: HelixAI does not guarantee that Generated Content does not infringe third-party intellectual property rights. You are responsible for ensuring your use complies with all applicable laws.
  • No Professional Advice: Generated Content is not a substitute for professional legal, medical, financial, or other specialized advice.

7.3 AI Model and User Prompts

HelixAI uses Anthropic's Claude API as its primary AI backend. Your text prompts and inputs may be transmitted to Anthropic's servers for processing. Anthropic's terms of service and privacy policy govern their use of your data. Enterprise tier customers may optionally use fine-tuned Llama 3.1 8B LoRA adapters as secondary AI models.

7.4 User Warranties Regarding Content Submissions

When you submit writing samples, competitor content, or other materials to HelixAI, you warrant that you own or have permission to use all submitted materials, that submissions do not infringe third-party rights, and you grant HelixAI the right to analyze, process, and store your submissions for the purpose of providing the Services.

7.5 Your Content and Data Ownership

You retain full ownership of all content you submit to HelixAI ("Your Content"), including writing samples, competitor analysis briefs, blog posts, and style profile source materials. HelixAI retains a non-exclusive license to use Your Content for the purpose of providing the Services.

8. Style Profiles and NLP Analysis

HelixAI's NLP style learning feature analyzes writing samples you submit and derives writing style profiles ("Style Profiles") that capture your brand voice, tone, and linguistic patterns.

  • Style Profiles are created through NLP analysis of Your Content and are accessible only within your Tenant account
  • You may create up to the maximum number of Style Profiles permitted by your subscription tier
  • Style Profiles are stored securely and are not shared with other users or tenants
  • HelixAI uses Style Profiles to generate personalized content that matches your preferred writing style
  • You own the Style Profiles created within your account but may not export or transfer them without authorization

9. Competitor Analysis

9.1 Web Scraping of Publicly Available Content

The Competitor Analysis feature involves automated collection and analysis of publicly available content from competitor websites. HelixAI periodically crawls and indexes public web content from domains you designate as competitors. Only publicly accessible content is collected. Collection complies with robots.txt directives and applicable laws regarding web scraping.

9.2 Use of Competitor Data

Competitor Data is provided for internal business intelligence purposes. You agree to use Competitor Data only for legitimate competitive analysis and strategic planning, and not to facilitate copyright infringement, plagiarism, or republish Competitor Data as your own without attribution.

9.3 No Infringement Warranty

HelixAI does not warrant that Competitor Analysis activities do not violate the terms of service or intellectual property rights of third-party websites. Users are solely responsible for ensuring their use complies with applicable law.

10. Sage AI Chatbot Service

HelixAI provides an NLP-powered conversational chatbot service ("Sage AI") that can be deployed on your website or communication channels.

  • Sage AI is powered by HelixAI's AI backend (Anthropic Claude API by default)
  • You may customize Sage AI's tone, knowledge base, and response guidelines through configuration settings
  • Conversations with Sage AI are logged and stored subject to your Privacy Policy
  • You are responsible for monitoring Sage AI outputs to ensure compliance with your brand values and legal obligations
  • Users interacting with Sage AI should be notified that they are communicating with an AI chatbot, not a human

11. SEO Analytics and Blog Management

HelixAI provides SEO Analytics and Blog Management tools to help you monitor search engine performance and manage blog content.

  • SEO Analytics compiles data from search engines and third-party sources to provide keyword rankings, traffic estimates, and competitor insights
  • Data accuracy depends on third-party sources and is provided on an "as-is" basis without warranty
  • Blog Management features allow you to organize, schedule, and publish blog posts created within HelixAI
  • You are responsible for maintaining your own blog infrastructure and ensuring all published content complies with applicable laws

12. API Access and Rate Limits

12.1 API Keys and Authentication

HelixAI provides RESTful API access to the Services for Tenant Admins and authorized Users. Access is controlled via API keys.

  • API Keys are unique credentials that grant programmatic access to HelixAI Services
  • Each API Key is associated with a specific User and Tenant
  • API Keys may be scoped to specific API endpoints or features
  • You are responsible for keeping API Keys confidential and secure
  • Do not share API Keys with third parties or embed them in client-side code

12.2 API Rate Limits

  • Free Tier: 100 API calls per hour
  • Pro Tier: 5,000 API calls per hour
  • Enterprise Tier: Custom rate limits defined in your Service Level Agreement

If you exceed rate limits, HelixAI will throttle requests and return HTTP 429 (Too Many Requests) errors. Chronic rate limit violations may result in temporary suspension of API access.

12.3 API Key Revocation

HelixAI reserves the right to revoke API Keys at any time for security reasons or policy violations. In the event of account lockout under Section 5, all associated API Keys are automatically revoked.

13. Billing and Payment

13.1 Billing Terms

HelixAI provides billing services through Stripe. Subscription fees are billed in advance on a monthly or annual basis. Free Tier accounts are provided at no cost. Pro and Enterprise Tier accounts require a valid payment method on file. Invoices are delivered electronically to the email address registered with your Tenant account.

13.2 Auto-Renewal and Subscription Changes

  • Cancellation takes effect at the end of your current billing period; you are not refunded for the remainder of the current period
  • Tier upgrades take effect immediately and are prorated based on your remaining billing period
  • Tier downgrades take effect at the end of your current billing period

13.3 Failed Payments and Cure Period

If a payment fails, HelixAI will notify you via email and provide a 5 business day cure period to update your payment method. If payment is not received within 5 business days, your account may be suspended or downgraded to Free Tier. Accounts suspended for non-payment are subject to a 30-day recovery window; after 30 days, data may be deleted.

13.4 Price Changes and 60-Day Notice

HelixAI will provide at least 60 days' written notice of any price increase. If you do not agree to the new price, you may cancel your subscription before the price change takes effect. Continued use of the Services after the price change effective date constitutes acceptance of the new pricing.

13.5 Taxes

You are responsible for all applicable taxes related to your use of HelixAI Services (sales tax, VAT, GST, etc.). If you are tax-exempt, you must provide valid tax exemption documentation.

13.6 Refund Policy

  • Monthly subscriptions: No refunds are issued for partial months or unused service
  • Annual prepaid subscriptions: Cancellation within 30 days of purchase may qualify for a prorated refund
  • Accounts locked due to policy violations: No refund is issued for the locked period
  • Overage charges: Non-refundable

Refund requests must be submitted within 30 days of the billing date.

14. Third-Party Services and Integrations

14.1 Anthropic Claude API

HelixAI uses Anthropic's Claude API as its primary AI content generation backend. Use of Claude API is governed by Anthropic's Terms of Service, Privacy Policy, and Acceptable Use Policy. Your prompts and inputs are transmitted to Anthropic's servers. HelixAI is not responsible for Anthropic's practices or policies.

14.2 Stripe Payment Processing

All billing and payment processing is handled by Stripe. HelixAI does not have access to complete credit card information; Stripe handles all payment data securely according to their Terms of Service and Privacy Policy.

14.3 Together AI (Optional)

For Enterprise tier customers using optional fine-tuned Llama 3.1 8B models, HelixAI partners with Together AI. Use of Together AI services is governed by their Terms of Service and Privacy Policy.

14.4 Third-Party Data Sources

HelixAI uses third-party data sources for SEO Analytics, Competitor Analysis, and market research features, including search engine providers, analytics platforms, and public data aggregators. HelixAI is not responsible for the accuracy, availability, or privacy practices of third-party data sources.

15. Acceptable Use and Prohibited Activities

You agree not to use HelixAI Services for:

  • Any illegal activity or in violation of applicable laws and regulations
  • Infringement of intellectual property rights, including copyright, trademark, or trade secret
  • Unauthorized access, hacking, or attempts to circumvent security measures
  • Malware, viruses, or code that could compromise system integrity
  • Spam, phishing, social engineering, or fraudulent activities
  • Harassment, threatening behavior, or hate speech
  • Circumventing usage limits or sharing access credentials with unauthorized parties
  • Reverse engineering or attempting to derive proprietary algorithms
  • Commercial redistribution or resale of the Services without authorization
  • Any activity that could damage, disable, or impair HelixAI infrastructure

16. Limitation of Liability

16.1 Disclaimer of Warranties

HELIXAI SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. HELIXAI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; ACCURACY OR USEFULNESS OF AI-GENERATED CONTENT; UNINTERRUPTED SERVICE AVAILABILITY OR ERROR-FREE OPERATION; AND THAT GENERATED CONTENT IS UNIQUE, EXCLUSIVE, OR NON-INFRINGING. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

16.2 Limitation of Damages

EXCEPT FOR BREACHES OF CONFIDENTIALITY OR INTELLECTUAL PROPERTY INFRINGEMENT, YOUR TOTAL LIABILITY AND HELIXAI'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. IF YOU HAVE NOT PAID ANY FEES (I.E., FREE TIER), HELIXAI'S LIABILITY IS LIMITED TO $100 USD.

16.3 Exclusion of Consequential Damages

IN NO EVENT SHALL HELIXAI BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16.4 Essential Limitation

These limitations reflect the allocation of risk between you and HelixAI and are a material part of the basis for pricing. HelixAI would not be able to provide the Services at the advertised price without these limitations.

17. Confidentiality

17.1 Protection of Confidential Information

During the term of this Agreement, each party may disclose confidential information ("Confidential Information") to the other. Confidential Information includes technical data, algorithms, and system architecture (for HelixAI); your business data, writing samples, and API keys; and pricing, contract terms, and business operations (for both parties).

Confidential Information does not include information that is publicly available through no breach of this Agreement, is independently developed without access to the other party's Confidential Information, is rightfully received from a third party without restriction, or is required to be disclosed by law or court order.

17.2 Confidentiality Obligations

Each party agrees to protect Confidential Information using reasonable security measures, limit access to those with a legitimate need to know, use Confidential Information only for purposes of this Agreement, and not disclose Confidential Information to third parties without prior written consent.

17.3 Data Security

HelixAI maintains industry-standard security measures to protect your data, including encryption in transit and at rest, access controls, and regular security audits. You remain responsible for maintaining the security of your API keys and account credentials.

18. Data Retention and Deletion

18.1 Data Retention During Service

While your account is active, HelixAI retains all data associated with your Tenant account for the purpose of providing the Services, including Your Content, Generated Content, Style Profiles, usage logs, and account and billing information.

18.2 Post-Termination Data Retention

  • You have 30 days to export and download your data ("Data Export Window")
  • HelixAI will maintain your data in a secure, encrypted state during this 30-day window
  • After 30 days, HelixAI may delete all data associated with your account
  • For accounts locked due to policy violations, the 30-day window begins when the lockout is resolved (or 90 days after lockout if not resolved)
  • Backups of deleted data may be retained for compliance and disaster recovery for an additional period (typically 90 days)

18.3 Right to Be Forgotten

In jurisdictions with data protection laws (GDPR, CCPA, etc.), you may have the right to request deletion of personal data. Submit such requests to david@helixai.media.

19. Term and Termination

19.1 Subscription Term

Your subscription term begins on the date your account is created and continues on a month-to-month basis (or annual basis if you select annual billing) until terminated by either party.

19.2 Termination for Convenience

Either party may terminate this Agreement for any reason with 30 days' written notice. You may terminate by disabling your Tenant account or contacting david@helixai.media. No refund is issued for the termination notice period unless required by law.

19.3 Immediate Termination for Material Breach

HelixAI may terminate this Agreement immediately without notice if you violate the zero-tolerance content policy (Section 5), violate the Acceptable Use Policy in a material way, fail to pay fees for more than 5 business days after receiving notice, attempt to circumvent security measures, or breach confidentiality obligations.

19.4 Effects of Termination

  • Your right to access the Services immediately ceases
  • All API keys are revoked and authentication tokens are invalidated
  • You have 30 days to export your data (see Section 18.2)
  • All fees accrued through the termination date remain due and payable
  • Sections 5 through 18 survive termination indefinitely

20. Warranty Disclaimers and Service Availability

20.1 Commercially Reasonable Efforts

HelixAI commits to making commercially reasonable efforts to maintain the availability and performance of the Services. However, HelixAI does not guarantee uninterrupted service or 100% uptime.

20.2 Planned and Unplanned Downtime

You acknowledge that the Services may be subject to scheduled maintenance (announced in advance when possible), unplanned downtime due to technical failures or security incidents, and temporary unavailability of third-party services (Anthropic Claude API, Stripe, data providers). HelixAI is not liable for damages arising from downtime unless it exceeds 72 consecutive hours in a calendar month, in which case you may request a prorated service credit.

20.3 No SLA for Free Tier

Free Tier accounts are provided without service level guarantees. HelixAI may modify, suspend, or terminate Free Tier accounts at any time.

21. Indemnification

You agree to indemnify, defend, and hold harmless HelixAI, its officers, employees, and agents from any and all claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services in violation of these Terms
  • Your violation of applicable laws or regulations
  • Your infringement of third-party intellectual property rights
  • Disputes with other Users or third parties related to content you created or submitted
  • Your misuse of API keys or unauthorized access to systems

HelixAI will provide prompt notice of any claim and will cooperate in your defense at your expense. HelixAI reserves the right to assume control of any defense at your expense.

22. Dispute Resolution

22.1 Binding Arbitration

Except as provided in Section 22.2, any dispute arising out of or related to this Agreement, the Services, or your use thereof shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

22.2 Exceptions to Arbitration

The following disputes are NOT subject to arbitration and may be brought in court:

  • Claims seeking injunctive or equitable relief related to intellectual property infringement or breach of confidentiality
  • Claims brought by HelixAI for non-payment, unauthorized access, or policy violations
  • Small claims disputes in small claims court (up to the jurisdictional limit)

22.3 Arbitration Procedures

  • Each party bears its own costs unless the arbitrator determines otherwise
  • The arbitration shall be held in Wilmington, Delaware, or via virtual proceedings at the AAA's discretion
  • The arbitrator shall apply the substantive law of Delaware without regard to conflict of laws
  • The arbitration award is final and binding and may be entered as a judgment in any court of competent jurisdiction

22.4 Class Action Waiver

YOU AGREE THAT ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LITIGATION AGAINST HELIXAI. THIS WAIVER APPLIES TO ALL DISPUTES, REGARDLESS OF WHETHER THEY ARE IN ARBITRATION OR COURT PROCEEDINGS.

23. Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.

24. Modifications to These Terms

HelixAI reserves the right to modify these Terms at any time. Changes become effective when posted to the website. Continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

For material changes that negatively affect your rights, HelixAI will provide at least 30 days' notice via email. If you do not agree to the changes, you may terminate your subscription before the effective date.

25. Severability

If any provision of this Agreement is found to be unenforceable or invalid, the affected provision shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, the provision shall be severed. The remaining provisions shall remain in full force and effect.

26. Entire Agreement

This Agreement, together with the Acceptable Use Policy, Privacy Policy, and Cookie Policy, constitutes the entire agreement between you and HelixAI regarding the Services and supersedes all prior negotiations, representations, and agreements, whether written or oral.

If you have a written service agreement or master services agreement signed by both parties, the terms of that agreement take precedence over these Terms for any conflict.

27. Assignment

You may not assign this Agreement or any of your rights or obligations under it without the prior written consent of HelixAI. HelixAI may assign this Agreement to its successors or in connection with a merger, acquisition, or sale of substantially all assets.

28. Notices

Any legal notice or communication required under this Agreement must be in writing and delivered by:

  • Email to david@helixai.media (for notices to HelixAI) or to the email address associated with your Tenant account (for notices to you)
  • Personal delivery, courier service, or certified mail to HelixAI, Inc., 1234 Innovation Drive, Wilmington, Delaware 19801, USA

Notices are effective when received by the addressee.

29. Waiver

Failure or delay in exercising any right or remedy does not constitute a waiver of that right or remedy. A waiver of any provision must be in writing and signed by the waiving party to be effective.
